Terms & Conditions

All references herein to Virtual Xperiences, “VX” or “we” mean Virtual Xperiences LLC, including its successors and assigns. All references herein to “Client” or “you” refer to any person using or completing checkout on the Engage VX website (www.engagevx.com).

Full payment is due upon checkout. Specific Xperience dates, times, and talent are not confirmed until payment is received in full. If there are any adjustments made to the invoice, the additional balance is due upon receipt of the updated invoice. Client agrees that if Virtual Xperiences LLC hires an attorney to help enforce this agreement to collect any sums owing under this agreement, client will pay, subject to any limits under applicable law, Virtual Xperiences LLC’s reasonable attorney’s fees and all other collection expenses whether or not there is a lawsuit.

Attrition

The headcount entered during checkout is the guaranteed minimum kit count. Virtual Xperience LLC will work to support headcount increases whenever possible. Headcount decreases from the original quantity are not permitted. Virtual Xperiences LLC must be provided with an address(es) where any leftover kits can be sent, prior to the Xperience date, otherwise leftover kits will be discarded and the associated value forfeited. 

Tax and Gratuities

Applicable local and state taxes will be included. Gratuities are at the client’s discretion.

Cancellation

The Xperience checkout process guarantees the guest count, kit contents, plus labor for the talent and host. In the event of cancellation by the client, the client will be billed the amount stated below dependent upon the notice given. 

Cancellation Payment Schedule

• 0 to 14 calendar days prior to Xperience: 100% of the total Xperience revenue will be due, plus applicable taxes.
• 15 to 30 calendar days prior to Xperience: 75% of the total Xperience revenue will be due, plus applicable taxes.  
• 31 to 60 calendar days prior to Xperience: 50% of the total Xperience revenue will be due, plus applicable taxes.  
• 61+ calendar days prior to Xperience: 25% of the total Xperience revenue will be due, plus applicable taxes. Future payment schedule will be as outlined above.

Rescheduling is permitted outside of 21 days prior to the Xperience. Rescheduling inside of 21 days prior to the Xperience will be subject to a nonrefundable flat rate fee of $1000 which covers the talent’s time that was previously committed. Rescheduled events must be completed within one year from the date the initial Xperience was scheduled or funds will be forfeit. As our talent does turn down other opportunities based on their schedules with Virtual Xperiences, removing any previously committed-to extra time within 21 days is prohibited and non-refundable.

Damage and Liability

Virtual Xperience LLC maintains insurance for the services it provides. Client understands that Virtual Xperience LLC shall not be responsible for the loss of or damage to any items provided, rented or furnished by the client unless such loss or damage was caused solely by the gross negligence or willful misconduct of Virtual Xperience LLC. In any event, Virtual Xperience LLC’s liability for any claim arising under this agreement (including, without limitation, Virtual Xperience LLC’s failure to provide the services), is limited to the invoiced amount paid by client plus five hundred dollars ($500). You agree to indemnify, defend and hold Virtual Xperience LLC and its affiliates and their respective employees, representatives, agents and independent contractors harmless from any claims, injuries, losses or damages (including personal injury, wrongful death, and attorney’s fees) arising from or related to the event, unless such loss or damage was caused solely by the gross negligence or willful misconduct of Virtual Xperience LLC.

Zoom Waiver

Client understands Virtual Xperience LLC’s Zoom links are the recommended streaming platform and the only platform guaranteed to meet our brand expectations for production quality.  The client accepts the risk and responsibility for any technical issues and/or disruption to the Virtual Xperience that may result from using a non-preferred platform.

Run of Show and Talent

Any deviation from the standard ROS or edited agreed upon ROS following a scheduled Production Meeting must be communicated to the Virtual Xperience team no later than 48 hours prior to the Xperience. If the Xperience runs longer than one hour due to any last minute deviations to the ROS or any interruptions that are not part of the outlined standard, additional fees could apply. Talent is subject to change.

Late Bookings

Any order (domestic only) that is booked less than fourteen (14) calendar days prior to the Xperience date is subject to a late fee determined by Virtual Xperience LLC and will be included on the client’s invoice. For Xperiences that are booked less than fourteen (14) calendar days prior to the date of the Xperience, the client agrees to provide a complete list of participants no later than twenty-four (24) hours after checkout is completed. If any addresses are not received at this point, expedited shipping rates will apply. Addresses must follow the template provided by Virtual Xperience LLC. If addresses are received in an incorrect or incomplete format, client will be asked to resubmit. Virtual Xperience LLC will not submit addresses for shipment until the complete list is provided. No cancellations or date changes will be permitted for late bookings. Referral discounts cannot apply to any Xperiences booked in less than fourteen (14) calendar days.

Allergies

As Virtual Xperiences LLC is provided with a list of mailing addresses and does not have contact with individual Xperience participants prior to assembling and mailing out Xperience kits, the client is hereby obligated to share the below allergen statements with anyone who may receive an Xperience kit.   

ALLERGENS: ALERT FOR PARTICIPANTS WITH FOOD ALLERGIES. PLEASE BE AWARE THAT FOOD ITEMS AND INGREDIENTS IN OUR KITS MAY CONTAIN OR COME INTO CONTACT WITH COMMON ALLERGENS, SUCH AS DAIRY, EGGS, WHEAT, GLUTEN, SOYBEANS, TREE NUTS, PEANUTS, FISH, OR SHELLFISH. 

Virtual Xperiences LLC shall not be responsible or liable, under any circumstances, for any illness or health problem that may result from the consumption of foods provided by Virtual Xperiences LLC or the consumption of foods created with ingredients provided by Virtual Xperiences LLC. Virtual Xperiences LLC shall not be liable for allergic reactions any Xperience participant may have to any foods, products, or ingredients, purchased from, prepared by, or mailed by Virtual Xperiences LLC. The most common food allergens are: gluten (wheat), peanuts, soy, shellfish, dairy, eggs, nuts, and fish. Virtual Xperiences LLC does NOT accommodate gluten, dairy, eggs, nuts, soy, or fish allergies and Virtual Xperiences LLC may include these ingredients. If you or a participant is allergic to any of these items, know that while we make every effort not to do so, Virtual Xperiences LLC cannot guarantee there won’t be cross contamination. While Virtual Xperiences LLC will omit ingredients that are requested to be omitted from any kits, through receipt of an Xperience kit, the participant expressly acknowledges that they are solely responsible for: a) knowing any food allergies or intolerances they may have, b) reviewing all of the contents and ingredients in any included food item c) introducing any new ingredients to their diet and d) for any reactions that may happen from any prepared food item or ingredient.

Authority

Client represents and warrants by its written acceptance of these terms that this agreement has been approved by all required corporate acts of the contracting company and that the person booking the Xperience has full power and authority to confirm this agreement and to bind the contracting company thereto.

Virtual Xperience LLC will facilitate delivery of Xperience kits via commercial shipping couriers. The client will provide an address list of all domestic US participants a minimum of fourteen (14) calendar days prior to the date of the Xperience. Addresses must follow the template provided by Virtual Xperience LLC. If addresses are received in an incorrect or incomplete format, client will be asked to resubmit. Virtual Xperience LLC will not submit addresses for shipment until the complete list is provided. Virtual Xperience LLC cannot guarantee delivery to any additional domestic participants that are received after fourteen (14) calendar days prior to the Xperience. If we are able to ship a requested kit(s) within fourteen (14) calendar days prior to the Xperience, each kit will be subject to an additional fee of 10% plus any associated expedited shipping costs. If any address change or package rerouting request is received by a client or a participant after it has shipped, our team will act in the best interest of the client’s participant and assist them unless otherwise instructed. There will be a $35 rerouting charge added to the client’s invoice for each rerouting service request completed. Any kit damaged, delayed, stolen, or lost in shipment is not the responsibility of Virtual Xperience LLC. Virtual Xperience LLC will replace or refund kits that were lost by the shipping carrier to the best of our ability.
